Director Penalty Notice finance · Australia
A DPN can create personal exposure and a fixed statutory response period. Property-secured finance may be explored in some commercial circumstances, but urgent independent legal, tax and insolvency advice must come first.
A finance enquiry does not pause or extend a DPN deadline. No approval or settlement timeframe is guaranteed.
What a DPN means
The Australian Taxation Office states that company directors can become personally liable for specified unpaid PAYG withholding, GST and super guarantee charge. Once a DPN is issued, the ATO may pursue recovery of the director penalty.
Confirm the issue date, amounts, liability types, company lodgment history and how the notice was given. The legal consequences and possible responses can differ materially.
Finance may be one commercial option in a suitable case. It does not determine whether a penalty is valid, whether it is locked down or what legal or insolvency action should be taken.
Speak urgently with appropriately qualified advisers.
The statutory period
The ATO’s current practice statement says recovery proceedings cannot begin until 21 days after the director is given the DPN. That period is not a promised finance window. Valuation, lender assessment, legal documents and settlement conditions still take time.
Use the notice and legal advice—not an online estimate—to establish the operative date and required action.
Lodgment history may affect whether a penalty is described as non-lockdown or locked down and which responses may be available.
Reconcile company debt, director penalties, interest, payment arrangements and other liabilities.
Test business purpose, property security, usable equity, total costs, documentation and the repayment exit.
When finance may be explored
Property-secured finance may be considered only where the transaction has a genuine predominant business purpose and the liability, security and exit support the facility.
Potential funding of an evidenced business tax liability where legal and tax advisers confirm the proposed treatment.
A broader commercial refinance may combine eligible liabilities where the resulting structure is demonstrably supportable.
A second-mortgage or caveat structure may be assessed, subject to consent, priority, equity, lender policy and exit.
Short-term finance may provide time for an evidenced refinance, property sale or other verified liquidity event.
One notice · two urgent workstreams
The tracks can move at the same time, but they answer different questions. Neither track should be treated as complete until the facts, documents and outcome align.
DPN response pathway
The notice determines the legal urgency. The proposed facility must still satisfy purpose, security, net-funds and repayment requirements. This matrix keeps those two decisions distinct.
| Stage | Immediate professional step | Finance assessment | Evidence to assemble | Do not assume |
|---|---|---|---|---|
| Act immediatelyDPN receivedThe issue date, delivery and stated liabilities require urgent attention. | Obtain independent legal, tax and insolvency advice; use the notice and professional advice to confirm the operative position. | Finance triage may begin in parallel, but must not delay the professional response. | Complete notice, envelope or delivery record, ATO accounts, company details and lodgment history. | A finance enquiry does not pause, extend or satisfy the statutory response period. |
| Locked-down status or options uncertainThe available legal responses may depend on the liability type and lodgment history. | Have qualified advisers determine the notice status and lawful options. Read our locked-down versus non-locked-down guide as general background only. | Confirm whether the proposed payment is lawful, sufficient and genuinely business-purpose before seeking a structure. | Lodgment dates, liability breakdown, company status, payment history and professional advice. | Paying an amount or offering property security automatically resolves every exposure. |
| Verified amount may need fundingThe required liability and deadline have been reconciled. | Continue acting on professional advice and confirm exact payout or payment instructions. | Compare ATO debt finance, first-mortgage, second-mortgage or other business-purpose pathways case by case. | Verified amount, property values, mortgage payouts, ownership, cash flow and proposed repayment exit. | Estimated property equity equals available net loan proceeds. |
| Indicative structure identifiedA lender may be willing to assess the complete commercial position. | Keep advisers informed; continue meeting every legal and ATO obligation that applies. | Test valuation, ranking, consent, leverage, term, interest, fees, conditions and net usable funds. | Valuation access, title and entity documents, current financial evidence and exit support. | An indicative term sheet is an approval, a settlement promise or legal protection. |
| Settlement and post-funding planFunds and documents must be applied exactly as agreed. | Confirm the effect of any payment and all remaining obligations with professional advisers and the ATO. | Monitor loan covenants, payments, future tax obligations and the documented take-out strategy. | Settlement statement, payment confirmation, updated ATO position and exit milestones. | Refinancing one urgent liability is enough if the business cannot meet the new facility or future tax commitments. |
Important: This is general information, not legal, tax, insolvency or financial advice. The ATO position and available responses depend on the actual notice and circumstances. Finance is never guaranteed and must support a credible remedy rather than merely postpone an unworkable position.

A lender may consider eligible commercial, industrial, development, vacant-land or selected residential security. Availability depends on lender policy and the complete transaction.

Hypothetical example
This example is illustrative only. It is not a completed client transaction, an offer or an indication of approval.
A director receives a DPN relating to an operating company’s unpaid PAYG withholding and GST. The company and director obtain urgent professional advice. A documented amount may need to be paid, and an eligible investment property is available as potential security.
A lender may assess short-term property-secured business finance after confirming the predominant purpose, accepted property value, existing debt, legal position and total costs.
The proposed exit is a conventional refinance supported by updated trading results, with a credible property-sale contingency. Both exits require evidence and lender acceptance.
Exit strategy
A deadline may explain the urgency, but it does not repay the loan. The lender will assess how and when the facility is expected to be discharged.
Support the expected timing, serviceability and conditions for conventional or longer-term commercial finance.
Use realistic accepted value, net sale proceeds, marketing evidence, timing and a contingency.
Evidence receivables, asset sales, transaction proceeds or sustainable trading cash flow.
Show a workable alternative if the primary refinance, sale or business event is delayed.
