Bank Declined Before Property Settlement: What Can a Business Borrower Do?
A late bank decline does not automatically end a commercial property transaction. The immediate task is to identify why the application failed, confirm the contractual position, calculate the exact net funding gap and present an alternative lender with a complete, credible settlement file.
Commercial and business-purpose finance only. Subject to lender assessment, valuation, documentation, security, legal due diligence and settlement readiness. Approval and settlement timing are not guaranteed. Obtain immediate legal advice about the contract and any default notice.
When a bank declines finance close to settlement, speed matters, but accuracy matters more. A replacement lender must understand the bank’s reason, the legal deadline, the property security, the verified amount required and how the short-term facility will be repaid.

Frequently asked questions
What should you do when the bank declines before settlement?
Ask the bank for a clear written explanation and identify whether the decision relates to policy, valuation, serviceability, borrower structure, documentation, property type or another condition. A vague statement that the application “did not meet policy” is not enough to design an alternative structure.
- notify the property lawyer or conveyancer immediately;
- confirm the scheduled settlement date and every contractual deadline;
- request the bank’s decline reason and a list of unresolved conditions;
- obtain the valuation status and determine whether it can be released or relied upon;
- prepare a current settlement statement and exact net shortfall;
- identify available property security and current mortgage payouts; and
- document a realistic refinance, sale or other repayment exit.
Do not treat an enquiry as an extension. Discussions with another lender do not change the settlement date or prevent the vendor from exercising contractual rights.
Why might a bank decline late in the transaction?
Valuation shortfall
The adopted value, property condition, marketability or rental assumptions may not support the requested exposure.
Serviceability
Verified income, cash flow, interest cover or existing commitments may fall outside bank requirements.
Policy or property type
The asset may be specialised, vacant, under development, environmentally sensitive or otherwise outside standard policy.
Borrower structure
Trust, company, ownership, guarantor or beneficial-owner information may be incomplete or unacceptable.
Changed circumstances
New debt, weaker trading, an expired approval, changed contract or material credit event may alter the assessment.
Conditions not satisfied
Insurance, leases, permits, presales, equity contribution, payout evidence or other conditions may remain outstanding.
The reason for decline should shape the response. A different lender may have a different risk appetite, but a new lender still needs to assess the weakness rather than ignore it.
Confirm the contract before pursuing replacement finance
Property contracts, default consequences and extension rights vary between transactions and jurisdictions. The borrower should give the complete contract, variations and correspondence to its lawyer or licensed conveyancer and obtain advice about the actual deadline.
Settlement date
Confirm the contractual date, time, place or electronic settlement requirements and any agreed variation.
Default exposure
Ask about default interest, vendor costs, deposit consequences, damages and potential termination rights.
Notices
Provide any notice to complete, default notice, termination warning or demand to the legal adviser immediately.
Extension request
Only the parties or their authorised representatives can agree an extension; finance discussions do not create one.
NSW Government guidance explains that property contracts contain the transaction’s terms and conditions and should be reviewed by a solicitor or conveyancer. It also describes settlement as the point when the balance is paid and ownership transfers. Other states and territories have their own rules and practices.
Legal advice is essential. A broker or lender cannot determine whether a notice is valid, preserve the deposit or advise on contractual remedies.
Calculate the real shortfall, not just the purchase-price balance
A replacement facility must deliver enough usable money after all approved deductions. Ask the legal representative for a current settlement statement and reconcile it against the proposed facility.
Required net finance = settlement balance + duties, adjustments, default amounts and approved costs − cleared borrower funds − other confirmed sources.
Potential uses of funds
- contract balance;
- existing mortgage payout;
- duties and registration;
- rates and tax adjustments;
- default interest and legal costs where applicable; and
- approved transaction costs.
Confirmed sources
- cleared borrower contribution;
- net lender advance;
- verified sale proceeds;
- approved equity contribution;
- another coordinated facility; and
- other unconditional funds accepted for settlement.
Headline loan amount and usable settlement funds are not the same. Retained interest, establishment costs, valuation, legal expenses and existing payouts can reduce the cash available at settlement.
What commercial funding options may be considered?
First-mortgage private finance
A short-term facility secured by the acquisition property or another acceptable property, subject to valuation and legal review.
Second-mortgage business loan
Additional capital behind an existing first mortgage where value, ranking, consent and the commercial purpose are acceptable.
Bridging facility
Temporary funding between the settlement and a documented property sale, refinance or other defined exit.
Refinance with equity release
Replace existing property debt and release acceptable net equity from another property to fund the settlement.
Additional property security
More than one acceptable property may support the requirement, with every payout, owner and release condition documented.
Coordinated funding
Separate sources may address different parts of the settlement statement, subject to clear priority, documentation and timing.
No structure is automatically suitable. The decision depends on business purpose, property security, total debt, lender deductions, legal readiness and the repayment pathway.
What will a private or commercial lender examine?
Why the bank declined
The lender needs the real reason and supporting evidence, not an incomplete summary.
Property security
Ownership, title, existing mortgages and caveats, value, condition, use, marketability and insurance.
Borrower and purpose
Entity, directors, trustees, guarantors, financial position and a specific lawful commercial purpose.
Net requirement
Exact settlement uses, available borrower contribution, proposed gross facility and net proceeds.
Settlement readiness
Legal representatives, identity, documents, valuation access, payouts and electronic settlement coordination.
Repayment exit
The timing, evidence, costs and risks of refinance, sale, business cash flow or another credible source.
Low-documentation assessment does not mean no assessment. Alternative evidence may be considered, but the lender still needs enough information to make a responsible commercial credit decision.
Seven steps after the original lender says no
Escalate legally
Send the decline and all contract correspondence to the lawyer or conveyancer.
Diagnose the decline
Obtain the reason, unresolved conditions, valuation position and application status.
Fix the amount
Prepare a current sources-and-uses statement and minimum net requirement.
Map the security
List acquisition and additional properties, ownership, debt, title and access.
Build the exit
Evidence the intended refinance, sale, development or business-cash-flow repayment.
Complete due diligence
Address valuation, credit, legal, identity, entity and settlement requirements promptly.
Coordinate settlement
Ensure documents, conditions, cleared funds, mortgage priority and practitioner instructions align.
Documents to prepare for a replacement lender
- complete signed contract, variations and side agreements;
- bank decline letter or written explanation;
- original approval and every outstanding condition;
- valuation report or valuation status where available;
- settlement statement and itemised sources and uses;
- notices, extension requests and legal correspondence;
- borrower, guarantor, company and trust documents;
- identification and beneficial-owner information;
- current titles, mortgage statements and formal payouts;
- property information, leases, planning and insurance where relevant;
- evidence of cleared borrower funds;
- business-purpose and requested financial evidence;
- lawyer or conveyancer contact and settlement workspace details; and
- base-case and fallback repayment exits.
Business.gov.au recommends understanding income, expenses, debts and cash flow, considering available collateral and preparing the lender’s requested paperwork. A time-sensitive application benefits from the same discipline.
How will the short-term facility be repaid?
A credible exit is specific and evidenced. “The bank will refinance later” is weak unless the borrower explains what prevented approval, what will change, when it will change and which conditions must be satisfied.
Conventional refinance
Identify the likely lender class, serviceability evidence, required seasoning or trading period and expected application timing.
Property sale
Use realistic value, marketing period, selling costs, senior debt and expected net proceeds.
Development completion
Document remaining costs, approvals, time, presales or completed-stock strategy and refinance or sale pathway.
Business cash flow or asset sale
Support the source with contracts, forecasts, sale evidence and a timing contingency.
Short-term finance can be more expensive than conventional bank finance. The borrower should compare total costs, default consequences, exit risk and alternatives with appropriate legal, accounting and financial advisers.
A bank valuation changes the settlement plan
A company has exchanged contracts to acquire an industrial property for its operations. The bank’s valuation and policy review no longer support the proposed facility, leaving a documented settlement shortfall.
The buyer’s lawyer confirms the contract position. The borrower provides the decline reason, valuation, settlement statement, company and trust documents, current mortgage payouts and evidence of funds. A potential short-term first-mortgage structure is assessed over the acquisition asset and an additional investment property.
The intended exit is a conventional refinance after the borrower satisfies the identified serviceability and documentation conditions, with sale of the additional property as a fallback. Every element remains subject to assessment, valuation, documentation and settlement coordination.
Hypothetical example only. It is not a completed transaction, offer, approval or settlement promise.

Questions after a bank declines before settlement
Can another lender approve finance after my bank declines?
Potentially. A private or commercial lender may have different criteria, but it must still assess the decline reason, borrower, business purpose, security, valuation, net requirement, documentation and exit.
Does a bank decline extend the property settlement date?
No. A finance decline does not itself change the contract. Ask your lawyer or conveyancer immediately about the deadline, extension options and consequences.
Can a second mortgage fund the shortfall?
Potentially, where acceptable equity and mortgage ranking exist, any required consent is obtained, the purpose is commercial and the exit is credible.
What if the bank valuation is lower than expected?
Obtain the valuation details and calculate the resulting net shortfall. Another lender may form its own view, but no valuation or loan amount is guaranteed.
What information should I provide first?
Start with the contract, legal deadline, bank decline reason, valuation status, settlement statement, borrower details, property security, current payouts, cleared funds and repayment exit.
Does indicative approval guarantee settlement?
No. Settlement remains subject to final approval, valuation, legal due diligence, executed documents, conditions precedent, cleared funds and coordination between all parties.
